Westmont Clears Heavily Contested Château Montebello Sale
Westmont Hospitality Group has cleared the final court challenge to its acquisition of Quebec’s Château Montebello, ending a heavily contested sale process that drew nearly 100 prospective buyers.
Quebec Superior Court rejected a rival bidder’s attempt to block the sale of the 211-room resort at 392 Notre Dame in Montebello, allowing Westmont to proceed with a transaction now expected to close by Nov. 15.
The ruling provides new detail on the competition for the historic property. Ninety-eight parties signed confidentiality agreements and accessed the data room, 30 offers qualified after the first phase and 11 bids were submitted in the second, before the field was ultimately narrowed to four finalists.
Westmont’s offer was lower than some competing bids, including one from a consortium involving the Lavy and Varin families. But receiver PwC determined Westmont offered greater certainty because its proposal preserved the existing Fairmont management agreement and avoided potential litigation with Accor.
Justice Martin Castonguay rejected the challenger’s argument that its proposal was “considerably higher,” writing that “this is not what the evidence reveals” when the likely recovery for unsecured creditors was considered.
Financial terms remain confidential. Previous reporting has placed Westmont’s offer at roughly $35M. The sale also includes the resort’s 18-hole golf course and other assets.
